Part A: General provisions
A1. Provider
The provider is Main Skill, sole proprietorship of Allan Brignoli, Dorfstrasse 24, 5225 Bözberg, Switzerland ("Main Skill").

Main Skill operates under various offerings and websites, including main-skill.ch, ai-risk.ch (AI Vanguard), allanvista.ch (AllanVista), all-answer.com (custom learning platform), aintro.ch (AIntro) and allandone.me. The contracting party is Main Skill.
Sales through a distribution partner are excluded: if the Customer purchases an offering (for example AllanVista) through Threeway AG, Brugg (3way.ch), Threeway AG is the contracting party. These GTC do not apply to such contracts; the terms of Threeway AG apply instead.
A2. Scope
These GTC apply to all contracts between Main Skill and its customers ("Customer") for consulting, audits, training, software, software as a service, hosting, development and other services.
The offerings are aimed exclusively at businesses, organisations and schools. Main Skill does not enter into contracts with consumers.
The Customer's general terms and conditions apply only if Main Skill expressly agrees to them in writing.
In the event of conflict, the following order applies: 1. the quotation confirmed by the Customer and any written supplementary agreements, 2. the section of Part B relating to the offering, 3. Part A of these GTC, 4. the law.
A3. Conclusion of contract
Information on the websites, in particular descriptions and indicative prices, does not constitute a binding offer.
A contract is concluded when the Customer confirms a quotation from Main Skill in writing or when Main Skill confirms an order from the Customer in writing. The quotation refers to these GTC; by confirming the quotation, the Customer accepts them.
Email satisfies the written form requirement. This also applies to amendments and additions to the contract.
A quotation is valid for 30 days unless it states otherwise.
A4. Services and appointments
The scope, result, dates and price of a service are set out in the quotation. Anything not stated there is not owed. Ongoing operation, support and maintenance are owed only if the quotation expressly mentions them.
Main Skill performs the services with due care and in accordance with the state of the art customary at the time of performance. A specific economic or technical result is owed only if the quotation expressly designates it as guaranteed.
Main Skill may engage third parties for individual parts of the service (for example hosting and cloud providers). Main Skill remains responsible to the Customer. Where personal data is processed, A11 applies.
Dates are target dates unless the quotation expressly designates them as binding. If a service is delayed for reasons for which Main Skill is not responsible (for example lack of cooperation, outages of third-party providers, illness or force majeure), the dates are postponed accordingly. Main Skill informs the Customer as early as possible.
The Customer may reschedule or cancel agreed appointments (for example meetings, training sessions, workshops or audit dates) free of charge up to 7 days in advance. In the event of later cancellation or non-attendance, Main Skill may charge for the reserved time and expenses already incurred, to the extent permitted by Art. 404 para. 2 of the Swiss Code of Obligations (CO).
A5. Customer cooperation
The Customer provides, in good time and in full, the information, documents, access and contact persons required for the service. The Customer is responsible for being entitled to use this content and pass it on to Main Skill.
The Customer transmits passwords and other access credentials only via a secure channel agreed with Main Skill, never by unencrypted email. The Customer provides personal data of third parties only to the extent necessary for the service and only if entitled to do so.
Main Skill may charge additional work caused by missing, late or incorrect cooperation on a time basis at the rates in the quotation, provided Main Skill has notified the Customer in advance.
A6. Prices
All prices are in Swiss francs (CHF). Main Skill is not registered for VAT; no VAT is shown on invoices. If Main Skill becomes liable for VAT, it may charge VAT in addition from that point; it will inform the Customer in advance.
The prices in the quotation apply. Expenses (for example travel costs for on-site appointments) are owed only if the quotation mentions them.
A7. Invoicing and payment
Main Skill issues an invoice (QR-bill). The Customer pays by bank transfer within 30 days net of the invoice date, without deduction, unless the quotation states otherwise.
Main Skill may require advance payment in the quotation or, for longer engagements, provide for deposits or partial invoices according to progress.
If the Customer does not pay on time, the Customer is in default upon receipt of a reminder. From default, default interest of 5% per annum is owed (Art. 104 CO). After prior written notice, Main Skill may also withhold further services or suspend access until the outstanding amounts have been paid.
The Customer may only set off claims that Main Skill has acknowledged in writing or that have been established by final judgment.
A8. Acceptance and defects
If Main Skill delivers a work (for example a website, a learning platform, a program or a report), the Customer inspects it within 10 working days of delivery and reports defects in writing and as precisely as possible. If the Customer does not report any material defects within this period or uses the work productively, it is deemed accepted.
For defects reported in time, Main Skill remedies them within a reasonable period. If the remedy fails at the second attempt, the Customer may demand an appropriate reduction of the price or, in the case of material defects, withdraw from the affected part of the contract. Further claims for defects are governed by A9.
Warranty rights for defects apply for 12 months from acceptance, unless the law provides for a longer mandatory period. Defects that Main Skill has intentionally concealed are excepted.
In particular, deviations caused by changes made by the Customer or third parties, operating errors, environments not agreed upon, or later changes to browsers, operating systems or third-party services are not defects.
For services without the character of a work (for example consulting, meetings, training), Main Skill owes diligent performance but no specific result.
A9. Liability
Main Skill is liable without limitation for damage caused intentionally or through gross negligence (Art. 100 para. 1 CO). For personal injury, Main Skill is liable in accordance with the law.
Otherwise, Main Skill's liability, in particular for slight negligence, is excluded to the extent permitted by law.
To the extent permitted by law, Main Skill is not liable for indirect and consequential damage, lost profit and damage resulting from outages of third-party services, nor for loss of data to the extent it would not have occurred with a backup that is the Customer's responsibility. The Customer is responsible for regularly backing up its own data unless the quotation states otherwise.
These limitations also apply to Main Skill's auxiliaries and engaged third parties. Mandatory statutory liability remains reserved.
A10. Rights to work results
Rights to work results that Main Skill creates specifically for the Customer (for example texts, design, reports, course content, code) pass to the Customer upon full payment, unless the quotation states otherwise. Until then, the Customer may use them for the agreed purpose. Main Skill hands over the source code if the quotation provides for this.
Main Skill retains all rights to tools, templates, libraries, test plans, methods, know-how and software that it has created independently of the engagement or uses in several engagements (for example AllanVista, Allanonymizer, the design system and audit tools of AI Vanguard). To the extent such components are contained in a work result, the Customer receives a non-exclusive right, unlimited in time, to use them within the scope of that work result.
Open-source components and third-party content (for example fonts, images, libraries) are subject to their own licences. Main Skill names them on request.
Main Skill may name the Customer as a reference only with the Customer's prior written consent.
A11. Confidentiality and data protection
Both parties treat confidential information of the other party received in connection with the contract as confidential and use it only for the contract. This obligation continues after the end of the contract. It does not apply to information that is publicly known or that a party must disclose by law or by order of an authority.
Main Skill processes personal data in accordance with the Swiss Federal Act on Data Protection (FADP) and its ordinances. How Main Skill processes data is described in the privacy policy of the respective website.
Where Main Skill processes, on behalf of the Customer, personal data for which the Customer is responsible (for example data of employees or learners on a learning platform, content of audited websites or test data of AI agents), Main Skill acts as processor. Main Skill then processes the data only in accordance with the Customer's instructions and for the agreed purpose, takes appropriate technical and organisational measures for data security, and passes the data only to sub-processors that the Customer has approved in advance. Sub-processors named in the quotation or in the data processing agreement are deemed approved. Main Skill notifies new sub-processors in advance; the Customer may object for good cause. If Main Skill becomes aware of a data security breach affecting this data, it notifies the Customer as soon as possible.
Main Skill concludes a separate data processing agreement (DPA) on request. Until then, the preceding paragraph constitutes the data processing agreement.
The Customer is responsible for being entitled to lawfully process and transfer personal data it provides to Main Skill and for informing data subjects as required by law.
A12. Term and termination
Individual engagements end upon performance of the agreed service.
Mandates (for example consulting, audits, training, maintenance as a service) may be terminated by either party at any time (Art. 404 CO). The Customer pays for the services performed and expenses incurred up to that point. In the event of termination at an inopportune time, Art. 404 para. 2 CO applies.
Contracts for software as a service and hosting (subscriptions) have no minimum term unless the quotation specifies one. Either party may terminate them in writing with effect from the end of the current calendar month.
Either party may terminate the contract without notice for good cause, in particular if the other party continues to breach material obligations despite a written reminder with a reasonable deadline.
At the end of the contract, Main Skill hands over the Customer's data on request in a common format and then deletes it, unless there is a statutory retention obligation. The Customer has 30 days from the end of the contract to request the handover.
A13. Changes to these GTC
Main Skill may amend these GTC. For ongoing long-term contracts, Main Skill notifies changes in writing at least 30 days before they take effect and points out the consequence of silence. If the Customer does not object within this period, the new GTC apply. If the Customer objects, it may terminate the contract with effect from the date the change takes effect. For individual engagements, the version valid at the time the contract was concluded applies.
A14. Final provisions
If any provision of these GTC is invalid, the remaining provisions remain valid. The invalid provision is replaced by a valid one that comes closest to its economic purpose.
The Customer may transfer rights and obligations under the contract to third parties only with Main Skill's written consent.
Swiss law applies exclusively, in particular the Swiss Code of Obligations (CO), excluding the United Nations Convention on Contracts for the International Sale of Goods (Vienna Convention) and the conflict-of-law rules of private international law.
The place of jurisdiction is Brugg AG, unless the law provides for another mandatory place of jurisdiction.
The German version of these GTC is authoritative. Translations are provided for convenience only.
